1. PARTIES AND ENTITY STRUCTURE

The following definitions govern the interpretation of these Terms in their entirety. All entities named or referenced herein are components of the GmWilkieco conglomerate structure operating under the oversight of RIAN GMWILKIE GEORGE, sole trustee. All rights, obligations, and liabilities under these Terms vest exclusively in the appropriate entity as described below. No trustee, officer, representative, designee, or affiliated individual assumes personal liability for obligations of any GmWilkieco Party arising under or in connection with these Terms or the Services.

GMWILKIE-GEORGE TR is the trust entity responsible for branding, communications, and marketing within the conglomerate. It presents outwardly to the world as GmWilkieco Enterprises PTN, a documented trade name of RIAN GMWILKIE GEORGE. GmWilkieco Enterprises PTN carries no independent liability as a trade name; all rights, instruments, and obligations attributed to GmWilkieco Enterprises PTN vest in GMWILKIE-GEORGE TR. The website gmwilkieco.com, its brand presentation, its user relationship architecture, and these Terms are instruments of GMWILKIE-GEORGE TR, operated under that trust's branding and communications mandate.

WilGheW TR ("WilGheW," "we," "us," or "our") is the trust entity responsible for operations throughout the conglomerate. It presents outwardly through the following common law trade names (DBAs), each constituting a designated service brand: WilGheW-Drive (transportation and delivery services), WilGheW-Sort (task management and logistics services), WilGheW-Sitter (sitting and companion care services), and WilGheW-Conci (concierge and personal services) (collectively, the "Brands," and each individually a "Brand"). All four Brands are inextricably linked to and operate under the single trust entity WilGheW TR. They are trade names, not separate legal persons.

GmWilkie-Corq TR is the conglomerate's internal governance entity. It is the legal burden-carrier for all entities within the conglomerate structure and the sole authorization authority for conglomerate treasury functions. GmWilkie-Corq TR is not an outward-facing entity and does not present to users, counterparties, or regulators as a party to any user-facing transaction. Its governance and authorization functions are strictly internal.

The Conglomerate Treasury Entity is the conglomerate's internal treasury trust instrument. It holds legal title to all conglomerate assets by default, including the domain, platform infrastructure, brand marks, and all associated intellectual property. The identity of the Conglomerate Treasury Entity is maintained as proprietary and constitutes a trade secret of the conglomerate; its identity shall be disclosed only pursuant to a valid court order or other lawful compulsory legal process. All authorizations involving the Conglomerate Treasury Entity flow exclusively through GmWilkie-Corq TR. The Conglomerate Treasury Entity is not an outward-facing entity and does not present to users, counterparties, or regulators as a party to any user-facing transaction.

"GmWilkieco Parties" means, collectively: GMWILKIE-GEORGE TR, WilGheW TR, GmWilkie-Corq TR, the Conglomerate Treasury Entity, and all of their respective DBAs, trust instruments, designees, representatives, and service providers, in each case acting within their designated functional lanes as described above. No trustee, officer, representative, designee, or affiliated individual assumes personal liability for obligations of any GmWilkieco Party arising under or in connection with these Terms or the Services.

Legal title to the website gmwilkieco.com, the domain, platform infrastructure, brand marks, and all associated intellectual property is held by the Conglomerate Treasury Entity. GMWILKIE-GEORGE TR operates those assets under its branding and communications mandate by authority granted through GmWilkie-Corq TR.

2. ACCEPTANCE OF TERMS

By accessing gmwilkieco.com, submitting a request through any intake form, or engaging any Service, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms") in their entirety. If you do not agree, you may not access or use the Services. Your continued use of the Services following any modification to these Terms constitutes your acceptance of the revised Terms.

These Terms constitute a legally binding agreement between you and WilGheW TR, operating under the authority and oversight of GMWILKIE-GEORGE TR. By submitting a service request, you acknowledge that you have read, understood, and agree to be bound by these Terms and the Privacy Policy located at www.gmwilkieco.com/legal/privacy.

3. DESCRIPTION OF SERVICES

WilGheW operates as a routing and coordination platform connecting users to service offerings across its Brands. Each Brand operates within its designated service category:

WilGheW-Drive provides coordination of transportation and delivery services.
WilGheW-Sort provides coordination of task management and logistics services.
WilGheW-Sitter provides coordination of sitting and companion care services.
WilGheW-Conci provides coordination of concierge and personal services.
Provide accurate, complete, and current information when submitting requests or otherwise engaging the Services.
Use the Services only for lawful purposes and in compliance with all applicable laws, regulations, and ordinances.
Not misrepresent your identity, qualifications, location, or the nature of services being requested.
Not misuse, reverse-engineer, interfere with, or attempt unauthorized access to any part of the Services or any GmWilkieco Party's systems, networks, or data.
Not engage, solicit, or retain any Provider sourced through WilGheW outside of the GmWilkieco platform for services of the type coordinated through WilGheW, during the term of your engagement and for twelve (12) months following your last confirmed booking through the platform.
Not use the Services to harass, threaten, defraud, or harm any Provider, GmWilkieco Party, or third party.
Comply with all applicable laws and regulations governing your use of transportation, care, task, or concierge services in your jurisdiction.
Your access to or use or misuse of the Services;
Your breach of any provision of these Terms;
Your violation of any applicable law, regulation, or ordinance;
Any claim by a third party arising from or related to services you requested or received through the platform;
Any inaccurate, false, or misleading information you provided in connection with a service request or your use of the Services; or
Any dispute between you and a Provider or any other third party.

WilGheW's role is that of a coordination platform. It does not itself directly perform transportation, care, task, or concierge services except where expressly stated in writing at the time of booking confirmation. Specific service terms, pricing, availability, and sector-specific requirements may vary by Brand and are confirmed at the time of intake or booking.

3.1. Transportation and Delivery — WilGheW-Drive

Users of WilGheW-Drive acknowledge that transportation and delivery services may be subject to applicable federal, state, and local transportation regulations in the jurisdictions where services are performed. WilGheW does not hold itself out as a licensed transportation carrier. All transportation and delivery services are coordinated through independent Providers.

3.2. Sitting and Companion Care — WilGheW-Sitter

Users of WilGheW-Sitter acknowledge that sitting and companion care arrangements are coordinated through independent service providers. WilGheW does not provide licensed childcare, elder care, or healthcare services, and does not hold itself out as doing so. Users are responsible for independently confirming that any Provider engaged through WilGheW-Sitter holds qualifications appropriate to their specific care needs.

3.3. Task Management and Logistics — WilGheW-Sort

Users of WilGheW-Sort acknowledge that task management and logistics services are coordinated through independent service providers. WilGheW does not guarantee task outcomes beyond its coordination role. Specific task parameters and deliverables are confirmed at the time of intake.

3.4. Concierge and Personal Services — WilGheW-Conci

Users of WilGheW-Conci acknowledge that concierge and personal services are coordinated through independent service providers. The scope of any concierge engagement is confirmed at the time of intake. WilGheW does not guarantee the availability of any specific concierge service.

4. INTAKE AND REQUESTS

All service requests submitted through gmwilkieco.com's intake forms are subject to review and confirmation. Submission of a request does not guarantee availability, pricing, provider assignment, or acceptance of the request. WilGheW reserves the right to decline any request in its sole discretion without liability. Submission of an intake form constitutes your consent to GmWilkieco's collection and processing of the information you provide, in accordance with the Privacy Policy located at www.gmwilkieco.com/legal/privacy.

WilGheW's acceptance of a service request is confirmed only by written confirmation delivered to the contact information you provide. Verbal representations by any Provider or representative do not constitute a binding commitment by WilGheW.

5. USER RESPONSIBILITIES

You agree to:

Provide accurate, complete, and current information when submitting requests or otherwise engaging the Services.
Use the Services only for lawful purposes and in compliance with all applicable laws, regulations, and ordinances.
Not misrepresent your identity, qualifications, location, or the nature of services being requested.
Not misuse, reverse-engineer, interfere with, or attempt unauthorized access to any part of the Services or any GmWilkieco Party's systems, networks, or data.
Not engage, solicit, or retain any Provider sourced through WilGheW outside of the GmWilkieco platform for services of the type coordinated through WilGheW, during the term of your engagement and for twelve months following your last confirmed booking through the platform.
Not use the Services to harass, threaten, defraud, or harm any Provider, GmWilkieco Party, or third party.
Comply with all applicable laws and regulations governing your use of transportation, care, task, or concierge services in your jurisdiction.

You are responsible for all activity conducted under your name, contact information, or intake submissions. WilGheW reserves the right to verify the accuracy of any information you submit and to suspend or terminate access if inaccuracies are found.

6. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE GMWILKIECO PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT; ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, TIMELY, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; AND ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, QUALITY, OR COMPLETENESS OF ANY INFORMATION OR CONTENT PROVIDED THROUGH THE SERVICES.

NO ORAL OR WRITTEN ADVICE OR INFORMATION OBTAINED BY YOU FROM ANY GMWILKIECO PARTY OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, IN WHICH CASE THE ABOVE EXCLUSIONS APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

7. INDEMNIFICATION

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless each of the GmWilkieco Parties from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and costs of investigation) arising out of or related to:

Your access to or use or misuse of the Services.
Your breach of any provision of these Terms.
Your violation of any applicable law, regulation, or ordinance.
Any claim by a third party arising from or related to services you requested or received through the platform.
Any inaccurate, false, or misleading information you provided in connection with a service request or your use of the Services.
Any dispute between you and a Provider or any other third party.

WilGheW reserves the right, at your expense, to assume exclusive control of the defense of any matter subject to indemnification by you, and you agree to cooperate fully with WilGheW's defense of such claims. This indemnification obligation shall survive the termination or expiration of these Terms.

8. PAYMENTS

Payment terms, where applicable, are disclosed at the time of service confirmation. No binding payment obligation arises until WilGheW or the applicable Brand confirms a booking in writing. WilGheW reserves the right to modify pricing at any time, provided that pricing changes will not apply to bookings already confirmed and paid in full. All payments are non-refundable except as expressly stated at the time of booking confirmation or as required by applicable law. Disputes regarding charges must be submitted to WilGheW in writing within thirty (30) days of the charge date; failure to dispute within that period constitutes your acceptance of the charge.

WilGheW is not responsible for any fees, charges, or costs imposed by your financial institution in connection with payment processing.

9. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law:

The GmWilkieco Parties shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages of any kind, including but not limited to loss of revenue, loss of profits, loss of data, loss of goodwill, business interruption, or service delays, arising out of or related to your use of or inability to use the Services, regardless of whether such damages are based in contract, tort, statute, strict liability, or any other theory, and even if any GmWilkieco Party has been advised of the possibility of such damages.

The GmWilkieco Parties' total aggregate liability to you for any and all direct claims arising out of or related to these Terms or the Services shall not exceed the greater of: (a) the total fees actually paid by you to WilGheW in the six (6) calendar months immediately preceding the event giving rise to the claim; or (b) one hundred U.S. dollars (USD $100.00).

WilGheW is a coordination platform and is not the employer, principal, franchisor, or agent of any independent Provider. The GmWilkieco Parties' liability for the independent conduct, acts, omissions, negligence, or misconduct of third-party Providers is expressly excluded to the maximum extent permitted by applicable law.

Nothing in this section operates to limit or exclude liability that cannot be excluded or capped under mandatory applicable law, including mandatory consumer protection statutes in the jurisdiction in which you reside. Nothing in this section limits any GmWilkieco Party's liability for its own gross negligence or willful misconduct.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, IN WHICH CASE THE ABOVE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

10. THIRD-PARTY PROVIDERS AND INDEPENDENT CONTRACTOR STATUS

Certain Services are fulfilled through independent third-party service providers ("Providers"). Providers are independent contractors and are not employees, agents, joint venturers, or partners of any GmWilkieco Party. WilGheW does not supervise, direct, or control the manner or means by which Providers perform their services, and does not guarantee the conduct, qualifications, licensing, or performance of any Provider beyond WilGheW's coordination role.

WilGheW takes reasonable steps to screen Providers prior to engagement on the platform, but expressly does not warrant or represent that any Provider holds any particular license, certification, insurance, or clearance. Users are encouraged to independently confirm Provider qualifications relevant to their specific service needs.

No Provider is authorized to make representations, warranties, or commitments on behalf of any GmWilkieco Party. Any such representation by a Provider is made solely on the Provider's own behalf and does not bind any GmWilkieco Party.

11. DISPUTE RESOLUTION AND BINDING ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT SIGNIFICANTLY AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or the relationship between you and any GmWilkieco Party — including any question of arbitrability — shall be resolved exclusively by binding individual arbitration, rather than in court. Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, which are available at www.adr.org. The arbitration shall be seated in Wilmington, Delaware. The arbitrator shall apply Delaware law consistent with the Federal Arbitration Act and applicable statutes of limitations. The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

The following disputes are excluded from arbitration and may be brought in a court of competent jurisdiction: (a) claims properly within the jurisdiction of a small claims court in your jurisdiction, provided the matter remains in small claims court and is not removed or appealed; and (b) applications for emergency injunctive or equitable relief to prevent irreparable harm pending the establishment of an arbitration proceeding.

Each party waives any right to a jury trial for any dispute covered by this section.

Nothing in this section prevents you from reporting concerns to a government agency, regulatory body, or law enforcement, or from exercising any statutory right that cannot be waived by private agreement.

12. CLASS ACTION WAIVER

To the fullest extent permitted by applicable law, all claims subject to arbitration or court proceedings must be brought by you in your individual capacity only, and not as a plaintiff, class representative, or class member in any purported class action, collective action, consolidated action, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class, collective, or representative proceeding.

If this class action waiver is found to be unenforceable with respect to any particular claim or category of claims, that claim or category shall be severed from arbitration and may proceed in a court of competent jurisdiction, while all remaining claims shall continue in binding arbitration.

13. GOVERNING LAW AND JURISDICTION

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles, to the fullest extent permitted by applicable law.

To the extent that mandatory consumer protection laws of your state of residence apply to your use of the Services and cannot be lawfully waived or limited by private agreement, nothing in these Terms limits or purports to limit any right you hold under such laws. Users who reside in Pennsylvania, New Jersey, or any other jurisdiction with mandatory consumer protection statutes should be aware that such statutes may apply to claims arising from their use of the Services notwithstanding the Delaware governing-law provision above.

For any dispute not subject to arbitration under these Terms, you consent to the exclusive personal jurisdiction and venue of the state and federal courts located in New Castle County, Delaware, and waive any objection to such jurisdiction or venue on grounds of inconvenience or otherwise.

14. FORCE MAJEURE

No GmWilkieco Party shall be liable for any failure or delay in the performance of its obligations under these Terms to the extent such failure or delay arises from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, fire, flood, pandemic, epidemic, governmental action or orders, civil unrest, strikes or labor disputes, telecommunications or infrastructure failures, or failure of third-party service providers. WilGheW will use commercially reasonable efforts to resume performance as soon as reasonably practicable and will notify affected users of material disruptions when feasible.

15. ASSIGNMENT

GMWILKIE-GEORGE TR and WilGheW TR may each assign, transfer, or delegate these Terms or any of their respective rights or obligations hereunder, in whole or in part, without prior notice to you, in connection with a merger, acquisition, reorganization, or sale of all or substantially all assets. You may not assign, transfer, or delegate these Terms or any rights or obligations hereunder without the prior written consent of WilGheW. Any purported assignment by you in violation of this section is null and void.

16. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy located at www.gmwilkieco.com/legal/privacy and any written booking confirmation issued by WilGheW, constitute the entire agreement between you and the GmWilkieco Parties with respect to the subject matter hereof, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the Services. No representation, inducement, promise, or agreement, oral or otherwise, made by any person that is not contained herein shall be of any force or effect.

17. WAIVER

No failure or delay by any GmWilkieco Party in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. No single or partial exercise of any right, power, or remedy precludes any other or further exercise of that right, power, or remedy or the exercise of any other right, power, or remedy. A waiver of any breach or default under these Terms shall not constitute a waiver of any subsequent breach or default.

18. SEVERABILITY

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, unlawful, void, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it enforceable, or severed from these Terms if modification is not possible, and such finding shall not affect the validity or enforceability of any remaining provision. The remaining provisions of these Terms shall continue in full force and effect.

19. TERMINATION

WilGheW reserves the right to suspend or terminate your access to the Services at any time, with or without prior notice, for any violation of these Terms or for any other reason in WilGheW's sole and absolute discretion. Upon any termination, all rights and licenses granted to you under these Terms cease immediately.

The following sections shall survive any termination or expiration of these Terms: Disclaimer of Warranties, Indemnification, Limitation of Liability, Dispute Resolution and Binding Arbitration, Class Action Waiver, Governing Law and Jurisdiction, Entire Agreement, Waiver, and any other provisions that by their nature and context are intended to survive.

20. CHANGES TO THESE TERMS

GMWILKIE-GEORGE TR, presenting as GmWilkieco Enterprises PTN, may update or modify these Terms at any time in its sole discretion. When changes are material, notice will be provided by posting the revised Terms at www.gmwilkieco.com/legal/terms-of-service and updating the "Last Updated" date at the top of this document. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of those revisions. If you do not agree to any revised Terms, you must immediately discontinue use of the Services.
